Welcome to the website of Segura Global Analytics (https://agnosticai.xyz/), operated by Segura Intelligence Group OÜ (“Company,” “SIG,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) form a legally binding contract governing your access to our websites, sub‑domains, content, and AI‑driven “Brain as a Service” offerings (collectively, the “Services”). If you do not agree with any part of these Terms, please discontinue use of the Services.
Note: We do not claim any official certifications. We take our obligations seriously but make no representation that we hold any formal accreditation.
1. Acceptance of Terms
1.1 Binding Agreement
By accessing or using the Services, you confirm you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
1.2 Modifications
We may update these Terms at any time. For material changes we will email registered account contacts **30 days in advance**. Continued use after that date equals acceptance.
2. Eligibility
2.1 Age
The Services are intended for users aged 18 or older. We do not knowingly collect personal data from minors.
2.2 Authority
If you use the Services on behalf of an organisation, you warrant you have authority to bind that organisation.
3. User Obligations & Acceptable‑Use Policy
3.1 Permitted Uses
You may use the Services for your internal business purposes, download SIG‑generated reports, and display dashboards within your organisation.
3.2 Prohibited Conduct
- Upload or generate illegal, hateful, harassing, or infringing content;
- Pen‑test, scrape, reverse‑engineer, or circumvent security without written consent;
- Use the Services in violation of export‑control or sanctions laws;
- Resell or provide shared‑access unless enrolled in our authorised affiliate / reseller programme.
3.3 Export‑Control & Sanctions
You represent that you and your ultimate beneficiaries are **not** on any EU, UN, OFAC, or other sanctions list and will not export the Services to embargoed jurisdictions.
4. Support & Service Levels
Email support: privacy@agnosticai.xyz (response ≤ 24 business‑hours). Pre‑paid clients may book calls; each call is capped at **45 minutes**.
5. Pricing, Payments & Refund Guarantee
5.1 Billing & Renewals
Subscriptions and one‑off packages are billed via Stripe / Apple Pay in EUR or USD and auto‑renew unless cancelled at least **3 days** before the next term.
5.2 Performance Guarantee & Limited Refund
- Trigger. If, within NINETY (90) calendar days after delivery of the Action Capsule™ (“Measurement Period”), you demonstrate—under §5.2‑2—that the Net Financial Benefit (NFB) attributable to the Services is < 5 × the Pilot Fee, we will refund that Fee.
- Verification Method. NFB = (POST‑IMPLEMENTATION METRIC − BASELINE METRIC) × average unit economics (Schedule A). You must (i) implement all “Priority 1” recommendations in good faith, (ii) maintain unchanged pricing/discount/churn policies during the Measurement Period, and (iii) provide raw billing & CRM data promptly.
- Process. Open a refund ticket within **10 days** after the Measurement Period and supply evidence per §5.2‑2. We will validate within **15 business days**.
- Exclusions. Refund is unavailable if you (a) fail to provide required data within **20 business days**, (b) materially deviate from the agreed plan, (c) suffer force‑majeure events that distort revenue, or (d) are in payment default.
- Sole Remedy. The refund in this §5.2 is your **exclusive remedy** for failure to achieve expected ROI.
5.3 EU Digital‑Content Opt‑Out
EU/EEA consumers acknowledge and expressly request immediate performance and therefore waive the 14‑day right of withdrawal under Article 16(m) of Directive 2011/83/EU once execution begins.
5.4 Affiliate Programme
Authorised affiliates earn **10 % of net revenue**, tracked via Refersion, paid monthly within 30 days of month‑end provided no charge‑backs.
6. Intellectual Property
6.1 SIG IP
SIG owns all platform code, model architectures, trade marks, and collateral. No licence is granted except as expressly stated.
6.2 Client Data & Outputs
You own your raw data and every metric, prediction, or PDF we generate for you. You grant SIG a worldwide, royalty‑free licence to process that data solely to provide the Services.
6.3 Feedback
Any suggestion you submit may be used by SIG without obligation.
7. Confidentiality
Mutual NDAs apply where signed. Otherwise, each party must keep non‑public info confidential and use it only to fulfil this Agreement.
8. Disclaimers
8.1 “As‑Is / As‑Available”
The Services are provided without warranties of any kind.
8.2 No Professional Advice
All outputs are for informational purposes only and must be validated by qualified professionals before you rely on them.
8.3 Data Accuracy
Training data, third‑party APIs, and large‑language models may contain errors or bias. You assume all risk arising from reliance on any output.
9. Limitation of Liability
9.1 Exclusion of Damages
To the maximum extent permitted by law, SIG SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES of any kind.
9.2 Aggregate Cap
SIG’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS UNDER THESE TERMS IS €0.
9.3 Mandatory‑Law Carve‑Out
Nothing in this Agreement excludes liability that cannot lawfully be excluded (e.g., where applicable law prohibits limitation for death, personal injury, or gross negligence).
10. Copyright (DMCA) Policy
If you believe content on our site infringes your copyright, send a notice to dmca@agnosticai.xyz containing: (a) signature, (b) work identification, (c) infringing URL, (d) contact details, (e) good‑faith statement, (f) accuracy statement under penalty of perjury. Repeat infringers will be terminated after three substantiated strikes.
11. Suspension & Termination
We may suspend or terminate your access immediately for any breach, sanctions violation, payment failure, or abuse. Pre‑paid fees are non‑refundable except as expressly set out in §5.2 or where required by law.
12. Governing Law & Dispute Resolution
12.1 Non‑U.S. Users
This Agreement is governed by Estonian law. Disputes shall be resolved exclusively in Harju County Court, Tallinn.
12.2 U.S. Residents – Binding Arbitration & Class‑Action Waiver
Any dispute shall be finally settled by binding arbitration under the Commercial Rules of the AAA. **No class, collective, or representative actions are permitted.** The arbitral award may be entered in any court of competent jurisdiction.
13. Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control—pandemics, cyber‑attacks, war, power outages, etc.
14. Miscellaneous
- Entire Agreement. These Terms, the Privacy Policy, any Order Form, and any NDA form the entire agreement.
- Severability. If a clause is unenforceable, the remainder survives.
- No Waiver. Failure to enforce a right is not a waiver.
- Assignment. You may not assign this Agreement without our written consent; we may assign to a successor in interest.
